A Non-Disclosure Agreement or “NDA” is an agreement between two or more parties whereby one party agrees not to disclose or use information it receives from the other party.

The use of a NDA can be an important tool in real estate transactions for protecting one’s confidential or proprietary information prior to the start of a business relationship. Our article illustrate the importance of entering into a NDA, sets forth the basic elements and best practices thereof and provides some sample provisions.
