Cuddy & Feder LLP initially earned its reputation through its land use practice representing a diverse client base of large and small developers.  Cuddy & Feder's representation customarily includes zoning, land use, environmental and municipal law before state, county and municipal boards.  Cuddy & Feder generally coordinates the consulting team in the pursuit of governmental approvals for development of sites.

Secured Lending Transactions. back to top

Cuddy & Feder acts as lender's counsel to numerous banks and insurance companies in connection with their placement of secured loans in Westchester, Putnam and Dutchess Counties, in New York City, in upstate New York and in Connecticut. Most of these transactions are complex, sophisticated commercial financings involving a variety of corporate businesses and their financial needs. Some of these loans relate to real property development (construction loans, 'mini-perms' and long-term 'take out' mortgage funding) for office buildings, office parks, industrial parks, shopping centers, golf courses, hotels, rental apartment houses and condominium projects. Others are asset-based loans involving lines of credit and factoring transactions secured by corporate assets other than real estate.

Industrial Development Agency Financing. back to top

Cuddy & Feder represents a cross-section of businesses and not-for-profit entities in tax-exempt and taxable bond financings through Industrial Development Agencies throughout New York and the United States. Cuddy & Feder's representation includes the analysis of the availability of financing, structuring the transaction to qualify for such financing, representation before the appropriate Industrial Development Agency and closing. Representative transactions include bond issues that have been purchased by money funds and single institutions, or have been publicly marketed, underwritten or privately placed, and bond issues that have been sold with and without credit enhancement. Cuddy & Feder's attorneys serve as borrower's counsel, as bond underwriter's counsel and as local counsel to issuers of tax-exempt and taxable industrial development revenue bonds.

Environmental considerations have become integral to virtually all real estate, corporate and financing transactions.  To meet these demands, Cuddy & Feder maintains an environmental practice which complements all areas of the firm’s practice as well as functioning as a primary practice area in its own right.  The environmental practice group handles the environmental, risk assessment and legal liability issues in pre-transaction due diligence and contract negotiation for real estate, corporate and financing matters as well as the litigation and settlement of such issues post-closing.  It also handles litigation for plaintiffs, defendants and responsible parties regarding disputes over responsibility for environmental liability, as well as all manner of environmental compliance, and judicial and administrative practice under Federal, State and local ordinances, rules and regulations.
